Trade Coffee Referral Program Terms of Service

TRADE™ REFERRAL PROGRAM RULES

Effective February 3, 2026.

The Trade™ Referral Program (the “Program”) is sponsored by Seed Leaf Inc. d/b/a Trade (“Trade™,” “we,” “our” or “us”).  The following Trade™ Referral Program Rules (the “Program Rules”) shall govern your ability to earn Site credit, discounts, promotional items and/or free merchandise (collectively, and as further defined below, “Rewards”), as applicable, for yourself as a referrer (“Referrer,” “you” or “your”), as well as your Friends (as defined below), in connection with your referral of new  Trade™ customers.  Please review the Program Rules carefully.  Capitalized terms that are used but not defined herein shall have the meaning set forth in the Trade™ Terms of Service (“Terms”).      

NOTICE: THESE PROGRAM RULES CONTAIN DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES AND INDEMNIFICATION PROVISIONS. THE AFOREMENTIONED PROVISIONS ARE AN ESSENTIAL BASIS OF THESE PROGRAM RULES.

YOU UNDERSTAND AND AGREE THAT COMPANY IS NOT RESPONSIBLE OR LIABLE IN ANY MANNER WHATSOEVER FOR YOUR INABILITY TO PARTICIPATE IN THE PROGRAM AND/OR EARN REWARDS IN CONNECTION THEREWITH.    

Trade™ Agreements.  The Program, and each Referrer’s participation in the Program, shall be governed by all applicable Trade™ agreements including, without limitation, the Terms and the Trade™ Privacy Policy ("Privacy Policy”) (collectively, “Trade™ Agreements”).  These Program Rules are hereby incorporated into the Trade™ Agreements, and any and all terms and conditions contained therein shall apply to these Program Rules.  Where there is a conflict between the terms and conditions of these Program Rules and those of the Trade™ Agreements, to the extent that they apply to the Referral Program, these Program Rules shall govern in all respects. 

Please review these Program Rules, and all applicable Trade™ Agreements, carefully, prior to participating in the Referral Program.  If you do not agree to the terms of these Program Rules, and all applicable Trade™ Agreements, in their respective entirety, you are not authorized to register for, or participate in, the Referral Program.


I. How the Program Works

A. Program Participation, Generally

  • To participate in the Program, Referrers must have previously purchased Trade™ products and/or merchandise, and then access the web page made available at: www.drinktrade.com/pages/refer-a-friend and follow the on-screen instructions to apply for the opportunity to refer friends, family members and/or colleagues to Trade™.
  • Individuals who receive a referral via a Referrer shall be referred to as "Friends."
  • By participating in the Program, Referrer represents that she/he has any and all consents required by law to provide the email addresses of her/his Friends to be contacted in connection with the Program.


B. Eligible Referrer

To be "Eligible," a Referrer must:

  • Be a legal resident of the United States of America;
  • Be able to enter into legally binding contracts; and
  • Be at least eighteen (18) years of age (or the age of majority if greater than eighteen (18) years of age in her/his respective jurisdiction).


C. Making a Referral

  • Each Referrer must first open an account and purchase products/pays for a subscription from Trade™  totaling a minimum of Fifteen Dollars ($15.00), by and through the Service (only purchasers are eligible to participate as Referrers in the Program). The Referrer will be provided with a unique referral link/code ("Personal Link") that allows the Referrer to generate Rewards for herself/himself, as well as those Friends who qualify as Qualified Referrals. Personal Links will be issued only to individuals and not business entities.
  • Referrers must only refer real individuals who meet the requirements of these Program Rules. Referrers cannot refer themselves ("Self-Referral”). For example, a Referrer may not create multiple or fake accounts with Trade™ or participate in the Program using multiple or fake email addresses or identities.  TRADE™ RESERVES THE RIGHT TO INVALIDATE ANY PROSPECTIVE REFERRAL (AND INVALIDATE AND/OR REQUIRE A REFUND OF ALL ASSOCIATED REWARDS, AS APPLICABLE) WHERE TRADE™ DETERMINES, IN ITS SOLE AND ABSOLUTE DISCRETION, THAT THE REFERRAL IS A SELF-REFERRAL OR WAS OTHERWISE GENERATED IN VIOLATION OF THESE PROGRAM RULES.
  • You must ensure that all of your Referral Program Activities (as defined below) comply with the Federal Trade Commission Guidelines Concerning the Use of Endorsements and Testimonials and Native Advertising: A Guide for Businesses (the “FTC Guidelines”).  Without limiting the foregoing, you must prominently disclose to prospective Referrals that you shall receive Trade account credits and/or sweepstakes entries, in connection with your Referral Program Activities.


D. Making a Referral

A “Qualified Referral” means that all the following conditions are met:

  • A Friend: (a) opens an account on the Site; (b) registers for a subscription through the Services (including providing all requisite registration information); and (c) makes payment for a subscription and does not cancel same/receive a refund for same. If a Friend purchases from, or registers with, Trade™ using any other link or code, the registration will not count as a Qualified Referral and the Friend will not earn Rewards;
  • That Friend was not previously registered with Trade™ under any email address or alias; and
  • That Friend is: (a) a legal resident of the United States of America; and (b) at least eighteen (18) years of age (or the age of majority if greater than eighteen (18) years of age in her/his respective jurisdiction).


E. Earning Rewards

  • Friend Rewards.  Each Friend that qualifies as a Qualified Referral shall receive the reward then in effect, as updated and published by Trade on the Site here (each, a “Friend Reward”).
  • Referrer Account Credit Rewards.  Referrer shall receive a Trade™ account credit in the amount of Ten Dollars ($10.00) for each Friend that qualifies as a Qualified Referral (up to a maximum of five (5) Friends during each thirty (30) day period measured from the applicable Referrer’s first Qualified Referral) (each, a “Referrer Account Credit Reward”).  Referrer Account Credit Rewards will only be issued to Referrer in connection with Friends of the Referrer who satisfy the requirements to be considered Qualified Referrals. The Referrer Account Credit Rewards have no other cash value and may not be used to make purchases of any kind at any venue other than Trade’s™ online store. The Referrer Account Credits will expire after one (1) year if not used.
  • Referrer Sweepstakes Entry Rewards.  Where a Trade Coffee™ Monthly Refer-A-Friend Sweepstakes (“Sweepstakes”) is being offered by Trade™, Referrer shall receive one (1) entry in the then-current Sweepstakes, if any, for any Friend that qualifies as a Qualified Referral (up to a maximum of one (1) Friend) generated within the monthly period applicable to the Sweepstakes (each, a “Referrer Sweepstakes Entry Reward”).  Referrer Sweepstakes Entry Rewards will only be issued to Referrer in connection with the first Friend of the Referrer who satisfies the requirements to be considered a Qualified Referral during the monthly period applicable to the Sweepstakes. Any additional or subsequent purchases made by a Friend will not be considered Qualified Referrals, and any additional Friends referred beyond the one (1) Friend limit will not qualify for Referrer Sweepstakes Entry Rewards. 
  • For purposes of these Program Rules, the Friend Rewards, Referrer Account Credit Rewards and Referrer Sweepstakes Entry Rewards shall be considered “Rewards.”


F. Verified Qualified Referrals

  • Rewards are subject to verification. Trade™ may delay a Reward for purposes of investigation. Trade™ may also refuse to verify and process any transaction that Trade™ deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Program Rules, or believes will impose potential liability for Trade™, its subsidiaries, affiliates or any of their respective members, shareholders, officers, directors, employees, representatives and/or agents. Trade™ is not required to prove the legitimacy or illegitimacy of Qualified Referrals. All of Trade's™ decisions are final and binding, including decisions as to whether a Qualified Referral, or Reward, is verified.


G. Transfer and Value of Credit and Rewards

  • Rewards have no monetary value and may not be redeemed for cash. Rewards are not transferable and may not be auctioned, traded, bartered or sold. Upon termination of the Program, or any portion thereof for any reason, or upon cancellation of a Referrer's Trade™ account for any reason, any unredeemed Rewards that have not yet been delivered to the applicable Referrer and/or her/his Friend(s) shall be forfeited.


H. Redeeming Rewards and Credits

  • Qualified Referrals shall at all times be responsible for any and all taxes owed in connection with any Rewards. Trade™ reserves the right to withhold taxes from Rewards, as appropriate.  Without limiting the foregoing, we may send you an IRS Form W-9 and 1099-MISC or other appropriate form, if the total amount of taxable consideration that you receive in any calendar year is, in the aggregate, equal to Six Hundred Dollars ($600.00) or more.


II. Indemnification; Disclaimer of Warranties; Limitation of Liability.

A. By participating in the Program, Referrers and Friends agree to:

  • Defend, indemnify, release and hold harmless Trade™, its parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the "Released Parties"), from and against any and all claims, actions, demands, damages, losses, liabilities, costs or expenses (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Reward), caused by, arising out of, in connection with, or related to: (a) their improper and/or unauthorized participation in the Program; (b) their breach of these Program Rules and/or any Trade™ Agreements; (c) any dispute between Referrers and any Friend and/or other third-parties; and/or (d) their violation of any rights of another individual and/or entity.


B. Trade shall not be liable for:

  • Late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, unreliable, garbled or unintelligible Program-related transactions, communications or documents, regardless of the method of transmission;
  • Telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors;
  • Data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials;
  • Any printing, typographical, administrative or technological errors in any websites or materials associated with the Program;
  • Claims, demands, and damages arising from disputes among Referrers or between Referrers and Friends; or
  • Any other injuries, losses or damages of any kind resulting from acceptance, possession or use of a Reward, or from participation in the Program, even if reasonably foreseeable by Trade™ at the applicable time.


C. Trade™ disclaims any and all liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with, the Program, and reserves the right, in its sole and absolute discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other cause beyond Trade’s™ control corrupt the administration, security or proper operation of the Program.

D. Trade™ shall not be liable to any Referrer or Friend for the failure to supply any Reward or any part thereof, by reason of any acts of God, COVID-19 or any similar virus, disease and/or pandemic, as well as any private sector or governmental response thereto, any action(s), regulation(s), order(s) or request(s) by any governmental or quasigovernmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the Released Parties' control.

E. Trade™ reserves the right to cancel or suspend the Program should Trade™ determine, in its sole and absolute discretion, that the administration, security or fairness of the Program has been compromised in any way.

F. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE PROGRAM AND ALL ASSOCIATED REWARDS IS AT YOUR SOLE RISK; (B) THE PROGRAM AND ALL ASSOCIATED REWARDS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND TRADE™ EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED IN CONNECTION WITH THE PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT; (C) TRADE™ MAKES AND GIVES NO WARRANTY THAT: (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; (ii) THE RESULTS OBTAINED FROM USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE; (iii) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED IN CONNECTION WITH THE PROGRAM WILL MEET YOUR EXPECTATIONS; (iv) YOU WILL QUALIFY AND/OR EARN ANY REWARDS; AND/OR (v) ANY ERRORS IN THE PROGRAM WILL BE CORRECTED; AND (D) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED IN CONNECTION WITH THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.


G. Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TRADE™ (INCLUDING ANY VENDORS AND SERVICE PROVIDERS ASSOCIATED WITH OR ASSISTING TRADE™ IN OPERATING THE PROGRAM) SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF TRADE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE PROGRAM; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH, FROM, OR AS A RESULT OF THE PROGRAM; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE PROGRAM; (E) YOUR FAILURE TO QUALIFY FOR AND/OR EARN ANY REWARD; OR (F) ANY OTHER MATTER RELATING TO THE PROGRAM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN THIS PARAGRAPH MAY NOT APPLY TO YOU.

2. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, TRADE'S (INCLUDING ANY VENDORS’ AND SERVICE PROVIDERS’) MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), SHALL NOT EXCEED FIVE HUNDRED DOLLARS ($500.00).

III. Publicity.

A. Other than for residents of the State of Tennessee and where otherwise prohibited by law, participation in the Program constitutes permission for Trade™ to use any Referrer's first and last name, Trade™ profile information, statements, biographical information, city and state address, social media activity and/or public online content for any and all promotional or advertising purposes, on a worldwide basis and in all forms of media without review, permission or further compensation of any amount or kind whatsoever, where and to the greatest extent permitted by applicable law.

IV. Conduct.

A. Prohibited Conduct

Referrer represents and warrants that her/his activities in connection with generating Referrals (“Referral Program Activities”), and the materials used by her/him in connection with same (“Creative”), shall not at any time:

  • Violate applicable law, rules or regulations including, without limitation, the CAN-SPAM Act of 2003, as amended, the FTC Guidelines, as well as any and all laws, rules and regulations relating to consumer data privacy including, but not limited to, the California Consumer Privacy Act, Cal. Civ. Code § § 1798.100 et seq. (“CCPA”), the California Privacy Rights Act (“CPRA”), the Colorado Privacy Act (“CPA”), the Connecticut Data Privacy Act (“CTDPA”), the Delaware Personal Data Privacy Act (“DPDPA”), the Florida Digital Bill of Rights (“FDBR”), the Indiana Consumer Data Protection Act (“ICDPA”), the Iowa Consumer Data Protection Act (“ICDPA”), the Kentucky Consumer Data Protection Act (“KCDPA”), the Maryland Online Data Privacy Act (“MODPA”), the Minnesota Consumer Data Privacy Act (“MNCDPA”), the Montana Consumer Data Privacy Act (“MCDPA”), the Nebraska Data Privacy Act (“NDPA”), New Hampshire’s SB 255-FN (“NHDPA”), the New Jersey Data Privacy Act (“NJDPA”), the Oregon Consumer Privacy Act (“OCPA”), the Rhode Island Data Transparency and Privacy Protection Act (“RIDTPPA”), the Tennessee Information Protection Act (“TIPA”), the Texas Data Privacy and Security Act (“TDPSA”), the Utah Consumer Privacy Act (“UCPA”) and the Virginia Consumer Data Protection Act (“VCDPA”);
  • Infringe upon the intellectual property rights of Trade™ or any third parties;
  • Involve stalking, harassing or harming another individual;
  • Involve collecting or storing personal data about Friends and/or other Referrers;
  • Involve impersonating any person or otherwise misrepresenting Referrer's identity;
  • Involve interfering with or disrupting or violating the servers or networks connected to the Program, or violating any requirements, procedures, policies or regulations of such networks;
  • Interfere with another Referrer's participation in the Program;
  • Involve attempting to gain unauthorized access to the Program, other accounts, computer systems, or networks connected to the Program;
  • Involve transmitting any file that contains viruses, worms, trojan horses, or any other contaminating or destructive features;
  • Involve conducting any illegal activity or soliciting the performance of any illegal activity or other activity that infringes upon the rights of others; and/or
  • Involve reselling, bartering, trading, auctioning or otherwise generating income by providing access to the Program to others.


B. Bulk Distribution ("Spam")

  • If a Referrer provides a Personal Link to a Friend by email, the email must be created and distributed in a personal manner that is appropriate and customary for communications with friends, colleagues and family members.
  • Bulk email distribution or any other promotion of a Personal Link in a manner that would constitute or appear to constitute unsolicited commercial email or "spam,” as determined in Trade’s sole discretion, is expressly prohibited and may be grounds for immediate termination of the Referrer's account and deactivation of the personal link. Trade™ has a no-tolerance spam policy.
  • Trade™ has no obligation to monitor the Creative provided by Referrers; provided, however, that Trade™ may choose to do so and block any email messages, remove any such Creative, or prohibit any use of the Program.
  • While Trade™ is the actual sender of the referral email, each Referrer must nonetheless comply with applicable law.


C. Fraudulent and Suspicious Behavior

  • Trade™ may prohibit a Referrer from participating in the Program or receiving a Reward (and require a refund of all associated Rewards, as applicable), in Trade’s™ sole discretion, if Trade™ determines that such Referrer: (a) has attempted to tamper with and/or undermine the fairness, integrity or legitimate operation of the Program in any way by cheating, hacking, deception or any other unfair playing practices; (b)  has abused, threatened or harassed any other Referrers or any representatives of Trade™; and/or (c) has violated these Program Rules and/or the Trade™ Agreements in any way.
  • Use of any affiliate website, affiliate network properties, paid media or paid advertising, automated systems, script, or macro to participate is strictly prohibited and will result in disqualification.
  • Referrer may not use ANY “incentivized marketing” or establish, or cause to be established, any promotion that provides any sweepstakes entries, rewards, points or other compensation to be earned in connection with her/his Referral Program Activities, nor create the appearance of incentivized marketing.
  • Referrer may not engage in any of the following: (a) any Referral Program Activities via facsimile or telemarketing; (b) any Referral Program Activities in connection with mobile telephones or portable electronic devices via SMS, Smart Messaging, EMS, MMS or any other type of text messaging service or protocol unless pre-approved by Trade™ in writing in each instance; (c) violations of the terms of service of, or Abusing, social media websites, such as Facebook®, Instagram®, LinkedIn®, Pinterest® or X®, in connection with Referral Program Activities (for purposes of these Program Rules, “Abuse” shall mean spamming, sending any unsolicited mass mailing or instant messaging, using social media websites for commercial purposes (without Trade’s™ prior written consent), making any automated use of the applicable social media website’s systems, such as using scripts to send bulletins or other communications, or any other activity that violates the applicable terms of service); (d) soliciting personal information from any potential Referral; (e) any unlawful commercial activities; (f) any fraudulent or deceptive activity; and/or (g) any conduct that Trade™ objects to, in writing, at least forty-eight (48) hours in advance.
  • Referrer shall not place any Creative in, on or through any e-mail messages or online venue that contains, promotes, references or has links to: (a) web pages with no content; (b) profanity, sexually explicit material, hate material, material that promotes violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or family status, or any other material deemed unsuitable or harmful to the reputation of Trade™; (c) piracy (of software, videos, audio/music, books, video games, etc.) hacking/cracking/phreaking, emulators/ROMs, or distribution of copyrighted materials; (d) illegal activities or advice; (e) deceptive acts or practices; (f) violations of the rights of others, such as intellectual property or privacy rights; (g) personal web pages, non-English language pages, free hosted pages or venues under construction; or (h) activities generally understood as Internet abuse including, but not limited to, the sending of unsolicited bulk electronic mail.
  • Unless authorized by Trade™ in writing, in advance, you may not use third-party trademarks or any other term excluded by Trade™ in any manner in connection with your Referral Program Activities.  This prohibition includes, but is not limited to, purchasing keywords from search engine service providers (“Paid Search Networks”), or purchasing inclusion in search engine networks (“Paid Inclusion Networks”), where the associated keywords include the trademark, service mark and/or brand name of any third-party including, without limitation, “Trade,” “Trade Coffee,” “Drink Trade,” or any other Trade™ trademark, or any derivative or misspelling of any such trademark, service mark or brand name.  Without limiting the foregoing, you must not violate the rules, requirements or regulations of any Paid Search Network or Paid Inclusion Network, and you shall fully indemnify and hold harmless Trade™ from and against any and all liability arising from or in connection with any such violation.
  • CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE PROGRAM. SHOULD SUCH AN ATTEMPT BE MADE, TRADE™ RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.


V. Applicable Law; Arbitration; Class Waiver; and Waiver of Jury Trial.

A. Any and all disputes, claims and causes of action arising out of or related to the Program or any Reward or other prize awarded pursuant to the Program or to these Program Rules shall be resolved under the dispute resolution provisions set forth in the Terms.


VI. General Terms.

A. These Program Rules, together with the Trade™ Agreements, constitute the entire agreement between Referrers, Friends and Trade™ concerning the Program and associated Rewards. The failure of Trade™ to exercise or enforce any right or provision of these Program Rules shall not constitute a waiver of such right or provision. If any provision of these Program Rules is found by a court of competent jurisdiction to be invalid, the parties hereto nevertheless agree that the court should endeavor to give effect to the intentions reflected in the provision, and that the other provisions of these Program Rules shall remain in full force and effect. The section titles in these Program Rules are for convenience only and have no legal or contractual effect. A person who is not a party to these Program Rules shall have no right to enforce or receive the benefit of any of these Program Rules.
